Terms of Service

1. Acceptance of Terms

By accessing or using the PremiumDoc platform, website, or mobile application (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Description of Service

PremiumDoc provides an online platform that connects patients with healthcare providers, facilitating the scheduling of medical appointments. The Service includes features for appointment scheduling, management, and related healthcare communications.

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information as needed
  • Keep your password secure and confidential
  • Notify PremiumDoc immediately of any unauthorized use of your account

You are solely responsible for all activities that occur under your account. PremiumDoc reserves the right to suspend or terminate accounts if any information provided is inaccurate, outdated, or incomplete.

4. Appointment Scheduling

By scheduling an appointment through the Service:

  • You agree to attend the appointment at the scheduled time or cancel with appropriate notice
  • You understand that providers may have cancellation policies, including fees
  • You acknowledge that PremiumDoc does not provide medical services but facilitates connections to providers

5. Payments and Fees

PremiumDoc may charge fees for certain services. By using a paid service, you agree to pay all applicable fees. Appointments may require deposits or full payment at the time of booking. Refunds are subject to the cancellation policies set by individual providers.

6. User Conduct

You agree not to:

  • Violate any applicable laws or regulations
  • Impersonate another person or entity
  • Interfere with or disrupt the Service
  • Upload or transmit any viruses or harmful code
  • Use the Service for any illegal or unauthorized purpose

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREMIUMDOC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. PREMIUMDOC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

9. Changes to Terms

PremiumDoc reserves the right to modify these Terms at any time. We will provide notice of significant changes by posting a notice on our website or sending an email. Your continued use of the Service after changes indicates your acceptance of the new Terms.

10. Governing Law

These Terms shall be governed by the laws of the State of Connecticut, without respect to its conflict of laws principles. Any dispute arising from these Terms shall be resolved exclusively in the courts located in Connecticut.

HIPAA Compliance

1. Our Commitment to HIPAA

PremiumDoc is committed to complying with the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and its implementing regulations. As a platform that facilitates connections between patients and healthcare providers, we take our obligations regarding protected health information (PHI) seriously.

2. Business Associate Status

When providing services to healthcare providers who are Covered Entities under HIPAA, PremiumDoc operates as a Business Associate. We enter into Business Associate Agreements (BAAs) with healthcare providers as required by HIPAA. These agreements define our responsibilities regarding the protection, use, and disclosure of PHI.

3. Protected Health Information

Protected Health Information (PHI) is individually identifiable health information that is transmitted or maintained in electronic media or any other form or medium. PHI includes demographic information, medical histories, test results, insurance information, and other data that healthcare providers collect to identify an individual and determine appropriate care.

4. Safeguards for PHI

PremiumDoc implements administrative, physical, and technical safeguards to protect the confidentiality, integrity, and availability of PHI, including:

  • Encryption of PHI at rest and in transit
  • Access controls and authentication measures
  • Regular security risk assessments
  • Staff training on HIPAA compliance
  • Breach notification procedures
  • Regular audits of system activity

5. Uses and Disclosures of PHI

PremiumDoc uses and discloses PHI only as permitted by our BAAs and HIPAA regulations. Generally, we use PHI only to provide services to healthcare providers and their patients, such as facilitating appointment scheduling and communications. We do not use or disclose PHI for marketing purposes without explicit authorization.

6. Patient Rights Under HIPAA

HIPAA provides patients with certain rights regarding their PHI, including:

  • The right to access and obtain copies of their PHI
  • The right to request corrections to inaccurate PHI
  • The right to receive an accounting of disclosures of their PHI
  • The right to request restrictions on the use or disclosure of their PHI
  • The right to request confidential communications

To exercise these rights, patients should contact their healthcare providers directly. As a Business Associate, PremiumDoc will cooperate with Covered Entities to fulfill these requests as required by our BAAs.

7. Breach Notification

In the event of a breach of unsecured PHI, PremiumDoc will notify affected healthcare providers as required by HIPAA and our BAAs. We will provide information about the breach, the types of PHI involved, steps individuals should take to protect themselves, and what we are doing to investigate, mitigate harm, and prevent future breaches.

End User License Agreement (EULA)

1. Agreement

This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and PremiumDoc, Inc. ("PremiumDoc") regarding your use of PremiumDoc's software applications, website, and services (collectively, the "Software"). By installing, accessing, or using the Software, you agree to be bound by the terms of this EULA.

2. License Grant

Subject to your compliance with the terms of this EULA, PremiumDoc grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your personal or internal business purposes. This license does not allow you to use the Software on any device that you do not own or control, and you may not distribute or make the Software available over a network where it could be used by multiple devices at the same time.

3. Restrictions

You agree not to, and will not permit others to:

  • License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Software
  • Copy, modify, adapt, alter, translate, or create derivative works of the Software
  • Reverse engineer, disassemble, decompile, or attempt to derive the source code of the Software
  • Remove, alter, or obscure any proprietary notice or labels on the Software
  • Use the Software for any illegal or unauthorized purpose
  • Interfere with or disrupt the integrity or performance of the Software

4. Intellectual Property

The Software, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of PremiumDoc or its licensors and is protected by United States and international copyright, trademark, patent, and other intellectual property or proprietary rights laws. This EULA does not grant you any rights to use PremiumDoc's trademarks, logos, domain names, or other brand features.

5. User Content

You may have the opportunity to submit content to the Software, such as profile information, medical history, or appointment details ("User Content"). You retain all rights in your User Content. By submitting User Content, you grant PremiumDoc a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display your User Content in connection with providing the Software services to you.

6. Updates and Maintenance

PremiumDoc may from time to time in its sole discretion develop and provide Software updates, which may include upgrades, bug fixes, patches, and other error corrections. Updates may also modify or delete features in their entirety. You agree that PremiumDoc has no obligation to provide any Updates or to continue to provide or enable any particular features. Based on your device settings, when your device is connected to the internet, the Software may automatically download and install available updates.

7. Third-Party Materials

The Software may display, include, or make available third-party content (including data, information, applications, and other products) or provide links to third-party websites or services. You acknowledge that PremiumDoc is not responsible for such third-party content, websites, or services. PremiumDoc does not endorse or assume any responsibility for any third-party materials.

8. Termination

This EULA will remain in effect until terminated by you or PremiumDoc. You may terminate this EULA by deleting the Software and all copies from your devices. PremiumDoc may terminate this EULA at any time without notice if you fail to comply with any term of this EULA. Upon termination, you must cease all use of the Software and delete all copies.

9. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PREMIUMDOC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PREMIUMDOC BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES) ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SOFTWARE, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF PREMIUMDOC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Governing Law

This EULA is governed by and construed in accordance with the laws of the State of Connecticut, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising under this EULA will be brought exclusively in the federal or state courts located in Connecticut and you hereby consent to personal jurisdiction and venue therein.

12. Entire Agreement

This EULA constitutes the entire agreement between you and PremiumDoc regarding your use of the Software and supersedes all prior and contemporaneous written or oral agreements between you and PremiumDoc. No amendment to or modification of this EULA will be binding unless in writing and signed by PremiumDoc.
